BIDLOW – TERMS & CONDITIONS
1. Company Overview
These Terms and Conditions (“Terms”) govern all purchases, transactions, and interactions conducted through Bidlow (the “Store,” “Website,” or “Platform”), an online retail storefront operated by ADEM SALES LLC, a limited liability company organized and existing under the laws of the State of Georgia (“Company,” “we,” “us,” or “our”).
By accessing our Website, placing an order, purchasing products, or using any services provided through our Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.

2. Definitions
For purposes of these Terms, the following definitions apply:
“Customer,” “Buyer,” or “You” refers to any individual or entity purchasing products, accessing the Website, or interacting with the Company.
“Products” refers to all merchandise, goods, items, inventory, or services offered for sale through the Store.
“Website” refers to the Bidlow online storefront, including all pages, content, features, and related services.
“Order” refers to a purchase request submitted by a Customer through the Website.
“Business Day” means Monday through Friday, excluding federal holidays recognized in the United States.

3. Nature of Business
Bidlow operates as an online marketplace and retailer offering consumer goods acquired through various inventory sources, including liquidation channels, customer returns, surplus inventory, overstock merchandise, and other authorized supply sources.
Customers acknowledge and understand that not all products sold by the Company are brand-new factory-sealed merchandise.
Products may include:
- New items;
- Open-box items;
- Customer-returned items;
- Overstock inventory;
- Clearance merchandise;
- Previously used products;
- Products with damaged or missing retail packaging;
- Products requiring cleaning, assembly, testing, or minor repairs.
The Company provides available information regarding product condition, functionality, included accessories, and known defects whenever reasonably possible.
Purchasing from Bidlow means the Customer understands that certain products may have cosmetic imperfections, packaging damage, missing original materials, or other characteristics commonly associated with liquidation and resale inventory.
4. Product Categories & Conditions
Products listed on the Website may be categorized according to their condition. Condition descriptions are intended to provide customers with reasonable expectations regarding the item received.
Common condition categories include:
New
Products identified as “New” are generally unused items in original condition. Packaging may vary depending on supplier source.
Open Box
Products identified as “Open Box” may have been previously opened, inspected, displayed, or returned. The item may show minimal signs of handling and may or may not include original packaging.
Used
Products identified as “Used” have been previously owned or operated and may contain normal signs of use.
Damaged
Products identified as “Damaged” may contain cosmetic defects, functional issues, missing components, or other damage disclosed in the product listing.
Customer Returns / Liquidation Items
Some products originate from customer returns or liquidation inventory. These products may require additional inspection, testing, cleaning, replacement parts, or repairs by the buyer depending on the item purchased.
The Company encourages customers to carefully review all photos, descriptions, condition notes, and available information before completing a purchase.
5. Product Inspection
The Company makes reasonable efforts to inspect merchandise before listing products for sale.
Inspection procedures may include:
- Visual examination;
- Basic functionality testing when possible;
- Verification of included components;
- Documentation of visible defects;
- Photography of product condition.
However, due to the nature of liquidation, returned, and resale inventory, the Company cannot guarantee that every product will be free from undiscovered defects, hidden damage, manufacturer issues, or future failures.

8. Pricing & Pricing Errors

Unless otherwise stated on the product listing, customers acknowledge that:

- Damaged items;

- Special discounted inventory;
may not be eligible for return, exchange, or refund.
Customers are encouraged to carefully review:

Purchasing a product constitutes acceptance of the listed condition and disclosed information.
17. Limitation of Liability

19. Intellectual Property

- Text;
- Images;
- Graphics;
- Product descriptions;
- Software;
- Digital content;
is owned by or licensed to ADEM SALES LLC and is protected by applicable intellectual property laws.
Customers may not:

- Reproduce;
- Modify;
- Distribute;
- Sell;
- Use Company content for commercial purposes;
without prior written authorization from the Company.
Third-party trademarks, logos, and brand names remain the property of their respective owners.

If the dispute cannot be resolved informally, any legal action shall be brought in a court of competent jurisdiction located within the State of Georgia, unless otherwise required by applicable law.
Each party agrees to submit to the jurisdiction and venue of such courts.
Nothing in this section prevents either party from seeking emergency legal remedies when necessary to protect legal rights.

If any provision, section, or portion of these Terms is determined to be invalid, unlawful, or unenforceable by a court or competent authority, such determination shall not affect the validity or enforceability of the remaining provisions.

All remaining sections shall continue in full force and effect.
33. Entire Agreement
These Terms and Conditions, together with any additional policies or notices posted on the Bidlow Website, constitute the complete and entire agreement between the Customer and ADEM SALES LLC regarding the use of the Website and purchase of products.
These Terms replace and supersede any prior agreements, communications, representations, or understandings, whether written or verbal, relating to the subject matter contained herein.
The failure of the Company to enforce any provision of these Terms shall not be considered a waiver of that provision or any other rights.
